These Terms and Conditions govern your access to and use of livehat. By accessing or using the platform, you agree to be bound by these terms. If you do not agree, do not use the service.
Platform means the livehat application and related services. Organization means an account owner entity. Team means users invited under an organization. Content means all video, audio, metadata, captions, thumbnails, and related materials uploaded, recorded, created, processed, or published through the platform.
You represent that you are legally capable of entering into these terms and, if using the platform for an organization, that you are authorized to bind that organization.
You are responsible for maintaining the confidentiality of account credentials and for all actions under your account. You must promptly notify us of unauthorized access, suspected credential compromise, or account misuse.
Organization administrators control team memberships, permissions, social account access, and publishing rights. Administrators are responsible for configuring access controls in a lawful and appropriate manner for their team.
livehat provides tools for stream recording, clip extraction, media management, captioning, and social platform publishing workflows. Features may vary by plan, configuration, or deployment.
You retain ownership of your content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transcode, analyze, reproduce, and transmit your content solely to provide, secure, and improve the platform features you use.
You represent and warrant that you have all rights, consents, licenses, and permissions necessary to upload, process, publish, and distribute your content. You are solely responsible for complying with copyright, privacy, publicity, advertising, platform, and other applicable laws and policies.
When you connect third-party social accounts, you authorize livehat to perform actions on your behalf based on your requests and permissions. Third-party platform APIs and policies may change at any time and can affect publishing availability or behavior. You remain responsible for all published outputs and their compliance.
You may not use the platform to violate laws, infringe intellectual property rights, evade platform enforcement, distribute malware, gain unauthorized access, interfere with system security, or publish illegal, fraudulent, or deceptive content.
If you are on a paid plan, you agree to pay all applicable fees and taxes. Unless otherwise stated, fees are non-refundable. We may change pricing with reasonable notice. Failure to pay may result in suspension or limited access.
Use of the platform is also subject to our Privacy Policy. We process account, usage, and content-related data to operate and secure the service. You are responsible for obtaining any required notices and consents from end users or contributors appearing in your content.
We may modify, suspend, or discontinue any feature at any time, including integrations, workers, and processing pipelines. We do not guarantee uninterrupted or error-free operation and are not responsible for outages caused by infrastructure providers or third-party platforms.
The platform, including software, designs, trademarks, and documentation, is owned by or licensed to livehat and protected by law. Except as expressly permitted, you may not copy, reverse engineer, redistribute, or create derivative works from the platform.
We may suspend or terminate access immediately for violations of these terms, legal requirements, abuse, security risk, or non-payment. Upon termination, rights granted to you under these terms cease, except provisions that by nature survive.
To the maximum extent permitted by law, the platform is provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted availability.
To the maximum extent permitted by law, livehat and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption, arising from or related to your use of the platform.
You agree to defend, indemnify, and hold harmless livehat, its affiliates, and personnel from claims, liabilities, losses, and expenses arising from your content, your use of the platform, your violation of these terms, or your violation of law or third-party rights.
These terms are governed by the laws of UAE - Dubai operating jurisdiction, without regard to conflict-of-law rules. Any dispute arising out of or related to these terms will be resolved in the competent courts of that jurisdiction, unless otherwise required by applicable law.
We may update these terms from time to time. Material changes become effective upon posting or as otherwise communicated. Continued use after the effective date of updated terms constitutes acceptance.
If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these terms without our consent. These terms constitute the entire agreement regarding the platform unless a separate written agreement applies.
